Sailboat Content License Agreement

Welcome

Welcome to the Sailboat Content License Agreement (“Agreement”). Computer Science Atlas LLC (“CSAtlas”) provides images, video, animations, audio and templates (“Content”) in the Sailboat Video Maker app (“Sailboat”) for you to use in your projects. When you export a project that uses Content, you create a single “Product”. Throughout this Agreement, the term Product will only refer to a project export that includes Content. By creating a Product, you agree to be legally bound by the terms of this Agreement.

This Agreement covers your use of Content. Your use of Sailboat is covered by the Licensed Application End User License Agreement, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/.

This Agreement does not apply to any fonts included with Sailboat, which are provided under their individual respective licenses. Please see the Legal Notices section of the app for more information on fonts.

Ownership

Each Content item belongs to the respective author or copyright holder. Any rights not expressly granted to you through this Agreement are reserved by the respective copyright holders.

License

When you export a project as a Product, you automatically receive a new license (“License”) to use the Content included in the Product as part of your use of the Product, subject to the terms of this Agreement. In order to receive a License for any Content marked as Premium with a diamond icon and/or a text label, you are required to have activated Premium status through valid in-app purchase, and Premium status must still be active at the time of export.

The License is:

  1. perpetual, meaning it will continue for the lifetime of the Product,
  2. royalty-free,
  3. non-exclusive,
  4. non-sublicensable and non-transferable (except as described in the Limited Sublicense section below),
  5. revocable, and
  6. worldwide.

Use in a Product

The License only allows you to use each Content item included in a Product as part of the Product itself. This means:

  1. if the Content item is a template, you must customize (modify) the template in some way (for example, change the text) in the Product;
  2. if the Content item is an image, video, audio file, animation, or any other item that is not a template, you must combine the item with other material so that the Product has greater scope and is fundamentally different from the original Content item.

Permitted Uses

You may:

  1. reproduce, distribute, broadcast and display the Content included in a Product only as part of the Product itself;
  2. make unlimited copies of your Product for distribution, broadcast or display;
  3. upload your Product to a social media platform or website as a post or profile image, without limitation on the number of views or downloads;
  4. use your Product in any other way that is pre-approved in writing by CSAtlas.

Prohibited Uses

You may not:

  1. reproduce, sell, distribute or otherwise use Content on a standalone basis separately from a Product;
  2. reproduce, sell, or distribute any Content source code;
  3. claim, imply or register ownership or authorship of any Content, even if you modify the Content or combine it with other material;
  4. sublicense, lend, assign or otherwise transfer Content or any rights granted to you by this Agreement, except as described in the Limited Sublicense section below;
  5. sell or distribute a Product, digitally or physically, as a template or design stock asset, even if the distribution is for free;
  6. sell or distribute a Product as, or as part of, merchandise products including, but not limited to, paper greeting cards, t-shirts, posters, or mugs, even if distributed for free and even if modified and/or combined with other Content and/or material;
  7. use Content in any way that may be deemed offensive, defamatory, obscene or controversial, including, but not limited to, usage in pornographic content, content that incites violence, political endorsements, or endorsements for medical or healthcare products or services;
  8. use Content for any unlawful purpose;
  9. claim trademark or servicemark rights over any Content, whether standalone or in a Product.

Limited Sublicense

You may transfer a Product only to a single client as long as all of the following conditions are met:

  1. the Product makes more than minimal or superficial changes to included Content (simply combining Content with other Content or material is not considered making a change);
  2. you must enter into a written agreement with the client that sublicenses only the rights you have under this Agreement that are necessary for the client’s own use of the Product;
  3. the client will not reproduce, distribute, extract, or otherwise use Content separately from the Product itself;
  4. you are responsible for ensuring the client complies with all of the terms of this Agreement

Miscellaneous

  1. Changes: CSAtlas may change the terms of this Agreement at any time.
  2. Termination: CSAtlas may terminate this Agreement, and any Licenses covered by the Agreement, for any Content item at any time.
  3. Governing Law: This Agreement is governed by and construed by the laws of the State of California in the United States, excluding its choice of law rules.

Disclaimer

You are responsible for your use of Content and your Product.

CONTENT IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS, COPYRIGHT HOLDERS OR CSATLAS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE CONTENT OR THE USE OR OTHER DEALINGS IN THE CONTENT.
